By accessing or using this Website, submitting an enquiry, registering a product warranty, purchasing an Apium product or otherwise making use of our products or services, you agree to these Terms and Conditions.

2. Products and services

Apium supplies lithium iron phosphate (LiFePO₄) battery and energy-storage solutions intended for applications including residential, agricultural, commercial and industrial backup, renewable-energy and solar-power systems.

Product specifications, capacities, dimensions, compatibility information, photographs, illustrations and other information displayed on this Website are provided to assist customers in selecting suitable products.

We make reasonable efforts to ensure that product information is accurate and current. However, specifications, designs, components, packaging and product appearance may be updated or changed from time to time without prior notice where this does not materially affect the product's intended function or applicable consumer rights.

Customers and installers are responsible for confirming that a particular product is appropriate for the intended installation and is compatible with the inverter, charger, electrical system and other equipment with which it will be used.

3. Installation and use

Apium batteries and associated equipment must be installed, configured, operated and maintained in accordance with the applicable product manual, technical specifications, safety requirements and applicable South African laws and electrical standards.

Where professional installation is required, the customer is responsible for ensuring that installation is performed by a suitably qualified and competent installer.

Incorrect installation, configuration, wiring, charging, handling, storage, modification or use outside the manufacturer's specifications may cause equipment damage and may affect warranty coverage to the extent permitted by law.

Nothing in these Terms limits any rights or remedies available to a consumer under applicable South African consumer-protection legislation.

4. Orders

An enquiry, quotation request or order submitted through the Website, email or another communication channel does not necessarily constitute acceptance by Apium.

An order will become binding when Apium confirms acceptance of the order or otherwise supplies the product in accordance with the agreed transaction.

Before completing an electronic transaction, customers must be given a reasonable opportunity to review the transaction, correct errors and withdraw from the transaction where required by applicable law. This reflects ECTA's requirements for electronic transactions.

Apium reserves the right to decline an order where, for example, a product is unavailable, pricing information contains an obvious error, payment cannot be verified or the transaction cannot lawfully be completed.

5. Pricing

All prices quoted or displayed will be in South African Rand (ZAR) unless otherwise stated.

The applicable quotation or checkout process will indicate whether VAT, delivery, installation or other charges are included.

Where an obvious pricing or typographical error occurs, Apium may correct the error before accepting the relevant order, subject always to applicable consumer-protection legislation.

6. Payment

Payment must be made using the payment methods approved by Apium and communicated to the customer.

Where electronic payments are accepted, reasonable security measures will be used in accordance with applicable requirements.

Customers must never make payment into a bank account based solely on an unsolicited notification of changed banking details. Customers should independently verify any purported change to Apium's banking information using Apium's established contact details.

7. Delivery

Delivery dates and timeframes provided by Apium are estimates unless expressly agreed otherwise.

Apium will take reasonable steps to deliver products within the agreed period and in accordance with applicable South African law.

ECTA generally requires an online supplier to execute an order within 30 days unless another period has been agreed. If goods or services become unavailable, applicable refund and notification requirements may apply.

The customer must provide accurate delivery information and ensure that an authorised person is available to receive the goods where required.

Customers should inspect delivered products promptly and notify Apium as soon as reasonably possible of visible transport damage, missing items or incorrect products.

8. Returns, cancellations and refunds

Returns, cancellations and refunds will be handled in accordance with applicable South African law, including the Consumer Protection Act 68 of 2008 (“CPA”) and Electronic Communications and Transactions Act 25 of 2002 (“ECTA”), where applicable.

For qualifying electronic transactions, ECTA provides consumers with a seven-day cooling-off period for certain goods following receipt, subject to statutory exclusions and conditions. The consumer may generally be responsible for the direct cost of returning goods when exercising this particular cooling-off right.

Certain transactions are excluded from ECTA's cooling-off provisions, including specified customised or personalised goods and certain goods that, by their nature, cannot reasonably be returned.

Nothing in these Terms is intended to exclude or restrict any non-excludable right available to a consumer under the CPA, ECTA or other applicable legislation.

Before returning a product, customers should contact sales@apium.co.za for the appropriate return procedure.

9. Warranty

Apium products may carry a manufacturer's or supplier's warranty as specified in the warranty documentation applicable to the particular product.

Customers should retain their proof of purchase and, where applicable, register their product through Apium's warranty-registration facility. The Website currently provides warranty registration for Apium battery products and records information including the product, serial number, date of purchase and installer details.

Warranty coverage may be subject to compliance with installation, operating, maintenance and environmental requirements specified in the applicable warranty documentation.

Subject to applicable law, warranty coverage may not apply to damage resulting from misuse, unauthorised modification, incorrect installation, operation outside specified parameters, physical damage, inappropriate storage or other circumstances excluded by the applicable warranty.

The specific written warranty supplied with or applicable to a product should be consulted for its warranty period, coverage, exclusions and claims procedure.

Statutory rights under the CPA or other applicable legislation are not replaced or reduced by a manufacturer's warranty.

10. Warranty claims

To submit a warranty claim, the customer may be required to provide information including:

  • Proof of purchase;
  • Product model and serial number;
  • Installation details;
  • Installer information;
  • Photographs or videos;
  • Inverter and battery configuration information;
  • Fault codes or diagnostic information; and
  • Any other information reasonably required to diagnose the reported problem.

Apium may require inspection, testing or diagnostic assessment of a product before determining the appropriate remedy, subject to the customer's statutory rights.

11. Product performance

Battery capacity, usable energy, charging and discharging performance, cycle life and overall service life can be affected by operating conditions, configuration, temperature, charging behaviour, discharge patterns, inverter settings, system design and other factors.

Any design-life, performance or cycle-life information published by Apium should therefore be interpreted together with the applicable technical specifications, operating conditions and warranty documentation.

12. Third-party equipment

Apium products may be used with third-party equipment, including inverters, solar equipment and electrical systems.

References to compatibility with third-party products do not constitute an endorsement or guarantee of the performance of those third-party products.

Customers and installers remain responsible for verifying compatibility and configuring all equipment according to the respective manufacturers' specifications.

13. Website information

Apium takes reasonable steps to ensure information published on the Website is accurate. However, technical, typographical or administrative errors may occasionally occur.

Information on the Website may be updated without notice.

Technical information provided through the Website is general in nature and should not replace professional electrical or engineering advice where such advice is reasonably required.

14. Intellectual property

Unless otherwise stated, the content of this Website, including the Apium name, branding, logos, product photographs, graphics, technical documentation, text, designs and other material, belongs to Apium or is used under licence.

No Website content may be copied, reproduced, republished, distributed, commercially exploited or modified without prior written permission, except where permitted by law.

15. Limitation of liability

To the maximum extent permitted by South African law, Apium will not be liable for indirect, incidental, special or consequential loss arising from use of the Website or products where such liability may lawfully be limited.

Nothing in these Terms excludes liability that cannot lawfully be excluded or limited, nor does anything in these Terms waive a consumer's statutory rights under the CPA, ECTA or other applicable legislation.

Any provision that limits risk or liability must be interpreted subject to applicable consumer-protection legislation.

16. Personal information and privacy

Apium may collect and process personal information when customers contact us, purchase products, request support, register warranties, submit enquiries or otherwise interact with the Website.

Personal information will be processed in accordance with applicable South African data-protection legislation, including the Protection of Personal Information Act 4 of 2013 (“POPIA”).

17. Marketing communications

Where permitted by law, Apium may send customers information regarding its products, services, promotions or related offerings.

Electronic direct marketing will be conducted subject to POPIA and other applicable legislation, and recipients will be provided with appropriate mechanisms to opt out of further marketing communications where required.

18. Third-party websites

The Website may contain links to websites, services or resources operated by third parties.

Apium does not control third-party websites and is not responsible for their content, availability, privacy practices or terms of use.

19. Website availability

Apium does not guarantee uninterrupted or error-free access to the Website.

We may temporarily suspend, modify or discontinue portions of the Website for maintenance, security, upgrades or other operational reasons.

20. Prohibited use

Users may not use this Website to engage in unlawful activities, attempt to gain unauthorised access to systems or data, introduce malicious software, interfere with Website operation, impersonate another person or entity, or infringe Apium's or any third party's intellectual-property rights.

Apium may update these Terms and Conditions from time to time to reflect changes to its products, services, Website, business practices or applicable law.

The latest version will be published on the Website together with its effective or last-updated date.

Changes will not retrospectively remove rights already accrued to consumers under applicable law.

22. Governing law

These Terms and Conditions are governed by the laws of the Republic of South Africa.

Any dispute arising from the Website, products, services or these Terms will be dealt with in accordance with applicable South African law and through the courts or other dispute-resolution mechanisms having lawful jurisdiction.

Nothing in this clause prevents a consumer from exercising any right to approach an appropriate consumer-protection body, regulator, tribunal or other authority where permitted by law.

23. Severability

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be interpreted or severed to the extent necessary, without affecting the validity of the remaining provisions.
